DIR-3 KYC for Directors

Keep every DIN active and verified with the MCA.

DIR-3 KYC is the annual identity-verification filing every individual holding a Director Identification Number (DIN) must complete with the Ministry of Corporate Affairs — whether or not that director currently holds an active directorship. It re-confirms a director's personal, contact, and identity details on official record, using a unique OTP verification sent to that individual's own mobile number and email address.

Miss the deadline and your DIN is marked "Deactivated due to non-filing of DIR-3 KYC" — freezing your ability to sign board resolutions, file company forms, or be appointed to a new board, on top of a flat late filing fee. Filed correctly and on time, it takes minutes and keeps your director status fully compliant.

Applicability

Who exactly must file DIR-3 KYC?

DIR-3 KYC isn't limited to sitting directors — it follows the DIN itself. Here's every category of DIN holder this filing applies to.

Every Active DIN Holder

Any individual allotted a DIN on or before 31st March of the financial year, whose DIN status shows "Approved," must file — active directorship isn't required.

Most Common

Resident Indian Directors

Directors residing in India file using PAN-based e-verification along with Aadhaar OTP authentication as their core identity check.

NRI & Foreign National Directors

Directors residing outside India file with a notarised or apostilled passport, along with foreign address proof, in place of Aadhaar-based verification.

First-Time KYC Filers

Directors filing DIR-3 KYC for the very first time, or whose particulars have changed, must use the full eForm DIR-3 KYC rather than the web version.

Returning Filers, No Changes

Directors who filed last year with no change in personal details can use the simpler DIR-3 KYC-WEB, a quick OTP-based confirmation.

Disqualified Directors

Disqualification under the Companies Act does not exempt a director from KYC — the DIN itself still requires annual verification.

Directors Without an Active Board Seat

A director who has resigned from every company, or is between appointments, must still keep their DIN's KYC current for future use.

Directors Reactivating a Deactivated DIN

Anyone whose DIN was deactivated for missing a prior year's KYC must file the pending form along with the late fee to reactivate it.

The Filing Flow

From DSC to acknowledgement, in eight steps

The travelling marker beside this list traces exactly how a DIR-3 KYC filing moves from document collection to a filed, acknowledged form.

1

Confirm DIN Status

We check whether your DIN is due for eForm DIR-3 KYC or the simpler DIR-3 KYC-WEB, based on whether any details changed since last year.

2

Gather Identity Documents

PAN, Aadhaar (or passport for foreign nationals), address proof, and a recent photograph are collected and checked for consistency with MCA records.

3

Digital Signature Certificate (DSC)

The director's valid DSC is verified or arranged — every DIR-3 KYC form must be digitally signed by the director themselves.

4

Fill Personal & Contact Details

Nationality, permanent and present address, and other personal particulars are entered exactly as they appear on supporting proofs.

5

Mobile & Email OTP Verification

A unique one-time password is sent to the director's own personal mobile number and email ID — both must be verified in the same session.

6

Practising Professional Certification

A practising Chartered Accountant, Company Secretary, or Cost Accountant certifies the form before it's submitted to the MCA portal.

7

Upload & File on MCA Portal

The completed, signed, and certified form is uploaded to the MCA21 portal ahead of the annual due date.

8

SRN & Acknowledgement

An SRN is generated instantly and an approval email follows once processed — your DIN status reflects "KYC filed" against the current year.

Eligibility

Do you need to file DIR-3 KYC this year?

The eligibility test is narrower than most compliance filings — it hinges almost entirely on your DIN, not your current role.

You Hold a DIN

Any individual allotted a Director Identification Number on or before 31st March of the financial year falls within scope.

DIN Status Is "Approved"

Your DIN must not already be surrendered, deactivated, or under the "de-flagged" category shown on the MCA portal.

Own Mobile Number & Email

You need access to a personal mobile number and email ID in your own name, since OTPs cannot be sent to shared or third-party contacts.

Directorship Status Doesn't Matter

Resigned, disqualified, or currently without any board seat — the filing obligation still follows the DIN itself.

Valid Digital Signature Certificate

A class-3 DSC registered in the director's own name is required to sign the form electronically.

Filed at Least Once Before?

Determines your form: first-timers and anyone with changed details use eForm DIR-3 KYC; unchanged returning filers can use DIR-3 KYC-WEB.

Deadlines & Consequences

What's at stake if you miss the date

DIR-3 KYC runs on a strict annual calendar — here's exactly what each missed step costs a director.

Annual Due Date: 30th September

Every DIN approved on or before 31st March of that financial year must be KYC-verified by this date.

Flat Late Filing Fee: ₹5,000

Charged per DIN the moment the deadline passes — there's no scaled or reduced penalty.

DIN Marked "Deactivated"

Status changes to "Deactivated due to non-filing of DIR-3 KYC" on the MCA master data.

Blocked From Signing Forms

A deactivated DIN cannot digitally sign company filings, resolutions, or new appointments.

Reactivation Needs Full Refiling

Reactivating requires filing the pending DIR-3 KYC in full, plus the late fee, not just a request.

Recurs Every Financial Year

This isn't a one-time filing — every DIN holder repeats the KYC cycle annually, without exception.
